Receipt and Agreement to provide Investigative Services

1. General

1.1 This agreement is entered into between, Pacific Rim Computer Products (Harry Clay, Executive VP) 1234 Main Street, Anywhere USA,  hereinafter called CLIENT, and Attorneys’ Investigative Consultants, hereinafter called AIC.

1.2 The parties agree that from time to time this agreement may be supplemented by additional written agreements for the purpose of providing additional funding, or for other reasons. This is an initial agreement.

1.3 AIC warrants that it is a Private Investigative agency, duly licensed under the laws of the State of Nevada and in the business of providing a variety of investigative services.

1.4 AIC agrees to use its best efforts, including care and attention to detail, in conducting all leads. Beyond that, investigative results are furnished without warranty.

1.5 CLIENT desires to retain AIC to provide investigative services.

1.6 CLIENT warrants that this investigation is not being undertaken to support ongoing or projected violations of law.

2. The Investigation

2.1 The SUBJECT of this investigation is .Michael R. Crispy, DOB: 03/23/55; SSN: 555-55-5555.

2.2. Background and relevant information - Until 2 months ago SUBJECT was Assistant Director of Marketing of  Pacific Rim Computer Products (PRCP). At that time SUBJECT suddenly quit. Three months before that he had been passed over for promotion because he was not as hard a worker as the individual who got the job. At first he seemed very upset, but later appeared to be making an extra effort to improve his image by voluntarily working many nights and weekends. When he quit, he said that he wanted to travel and spend more time with his family. After quitting he and his wife sold their house and moved to Florida. Since SUBJECT's departure, client's sales have fallen 20%. Through industry sources, Client has been given to understand that SUBJECT has been retained as a Marketing Consultant by Radux Corporation, Client's principal competitor. As Assistant Director of Marketing for PRCP, SUBJECT was privy to confidential customer lists, suppliers, financial sources and proposed new lines of merchandise for the next two years. SUBJECT had signed confidentially and non-competition agreements while at PRCP.       

2.3. The object of the investigation is to determine SUBJECT's current employment status and to determine if the recent drop in PRCP sales was due to actionable activities on the part of SUBJECT..

2.4. The investigation is to commence .

3. Fee Structure

3.1 The minimum fee for this investigation is $500.00.

3.2 AIC agrees to conduct this investigation in accordance with the following rate schedule: (Only the section marked [X] applies)

3.2.1 [X] Time, Expenses and Brokered Services billed as follows

3.2.1.1.  AIC generated Investigative time is billed at $75/hour for each agent assigned to the investigation.

3.2.1.2  Information provided by confidential sources, remote computer databases and contracted investigators is billed in accordance with prevailing market conditions with due allowance for profit.

3.2.1.3. . Mileage is billed at $.25/mile. US Toll calls and Cellular Phone Time are billed at a flat rate of $.35/minute. Other out of pocket expenditures are billed at cost.

4. Budget

4.1. CLIENT and AIC agree to limit this investigation to an interim budget of $ including advance fees acknowledged as having been received from CLIENT in paragraph 6.1 below, or authorized as a credit card transaction under paragraph 6.2 below, but not including any money advanced or budgeted under other agreements, if any.

4.2. It is agreed that AIC is without authority to exceed the interim budget set forth in paragraph 4.1 above.

4.3. CLIENT understands that AIC reserves the right to suspend or terminate this investigation, regardless of the state of the matter, and without prior notice to CLIENT, any time 90% of the interim budget, or more, has been expended.

4.4. AIC agrees to make reasonable efforts to keep CLIENT apprised of the state of the budget. However, CLIENT is solely responsible for insuring that AIC is in receipt of sufficient funds and a large enough budget to preclude premature cession of investigative services.

5. Operational Considerations

5.1 CLIENT agrees to promptly notify AIC of all significant events which may have an impact upon this investigation.

5.2 CLIENT understands that from time to time during the course of this investigation it may be necessary for AIC to contact CLIENT without undo delay. In order to ensure that AIC can initiate and make such contact on a timely basis, CLIENT agrees to keep AIC advised of how such contact can be made.

5.3 CLIENT agrees that regardless of prior plans or commitments, AIC has the absolute and final authority to take action, including the expenditure of funds, deposited by CLIENT with AIC under the terms of this agreement, in any manner AIC deems appropriate to best accomplish investigative objectives

6. Invoices, Payments and CLIENT funds

6.1. On this date AIC received from CLIENT, an advance fee of  $1000.00, to be applied against any amount which CLIENT may come to owe AIC under this agreement or under other agreements.

6.2 CLIENT elects to use a credit card to pay any and all amounts that might become due under the terms of this agreement. Yes [  ]; No [X ]      (Complete the following only if a credit card will be used to fund the interim budget for this investigation.)

6.2.2. It is agreed that without an additional authorization by the cardholder, charges to this credit card cannot exceed the interim budget, if any, set forth in paragraph 4.1.

6.3. CLIENT agrees that AIC is under no obligation to segregate CLIENT funds or to place them in a trust account.

6.4. CLIENT further agrees that if, while in AIC's custody and control, those funds accrue interest, that interest shall be the property of AIC, regardless of the outcome of the investigation.

6.5. Funds advanced by CLIENT shall be retained on deposit by AIC without interest, and shall not be applied against the Balance Due until the final invoice. CLIENT advances which have not been expended after the final invoice, shall be promptly refunded to CLIENT.

6.6. CLIENT agrees to pay the Balance Due, as shown on the invoice, promptly upon receipt of each invoice.

7. CLIENT understands and accepts the fact that even though CLIENT funds are expended for Confidential Source information, AIC invoices may contain no definitive information relative to such sources. CLIENT understands and agrees with the absolute necessity of protecting investigative sources. CLIENT agrees that under no circumstances will CLIENT try to determine, or force AIC to reveal the identity or general nature of any Confidential Source.

8. CLIENT and AIC agree that this contract is made in the State of Nevada and that Nevada law is applicable in all matters. CLIENT further agrees that if a suit is ever filed for collection under the terms of this agreement, AIC shall be entitled to a reasonable sum for collection expenses, including court costs and attorney fees, both on trial and appeal.
